Bylaws of
The Calhoun Rural Fire Association, Inc.

Preamble

The Calhoun Rural Fire Association, Inc., being Incorporated on March 21, 2002 as a general Not For Profit Corporation under the laws of the State of Missouri for the exclusive purpose of establishing funds for the purchasing of fire fighting equipment. No part of the net earnings will ensure the benefit of any private shareholder within the meaning of Section 501 c (7) of the I.R.S. code. The purpose of this corporation is to provide activities, such as fundraisers and community activities.

BY-LAWS

  1. Each year on the second Monday in the month of February, an election shall be held to elect the officers of the Calhoun Rural Fire Association, Inc. At the election there shall be elected a President/Chief, Vice-President/Assistant Chief, Secretary and Treasurer. Such officers shall be voted on by the members in good standing of the Calhoun Rural Fire Association, Inc. All members in good standing will be notified by mail 7 days prior to this election, such notice shall be the responsibility of the Secretary.
  2. Any person or family wishing to become members of the Calhoun Rural Fire Association, Inc. must contact a member in good standing with the Association and be voted in to the Association by the majority of members present at a regularly scheduled meeting. A membership (single or family) can also be terminated if circumstances and or conduct warrant such action, by the majority of the members present in good standing at regularly scheduled meetings of the Association.

    Rules of this by-law are as follows:

    1. Miss three consecutive meetings scheduled or training, disciplinary action will be taken. The following are excusable absences: illness, job, scheduled vacation, death in family, company business.
    2. Fighting (fistfights, etc.) - ZERO TOLERANCE.
    3. No fire truck will leave the firehouse without lights on, sounding horn and siren on. Central will be notified INROUTE, ONSCENE, BACKIN SERVICE, IN QUARTERS.
  3. There shall be a quarterly meeting, January, April, July, and October, the first Monday on these months and any other month which is deemed necessary by the majority vote. This is to include quarterly inspection of all equipment. All fire personnel that are issued equipment shall be responsible for the care and maintenance of said equipment unless damaged in fire emergency call as well as training exercises.
  4. All policy-making decisions of the Calhoun Rural Fire Association, Inc. shall be voted on by the members of the Association. The majority of the voters prevail on any issue voted upon.
  5. A roster of all voting members shall be maintained by the Treasurer and Secretary of the Association and distributed to the other officers of the Association.
  6. The duty of the President/Chief of the Calhoun Rural Fire Association, Inc. shall preside over all meetings of the Association an no person from the floor can make statements of policy or discuss Association business without first obtaining the floor through the consent of the President/Chief and only one person at a time may have the floor.
  7. After a discussion is held with one person at a time discussing his or her opinion or proposition, any voting member of the Association, including any officer of the Association, may make a motion to the President which the President shall recognize when said motion is seconded by another voting member of the Association, and the President/Chief shall put to vote the issue proposed in the motion to voting members of the Association.
  8. In the absence of the President/Chief from a meeting, the Vice-President/Assistant Chief shall preside. In the absence of the President/Chief and Vice-President/Assistant Chief, the Secretary shall preside. In the absence of the President/Chief, Vice-President/Assistant Chief and Secretary, the Treasurer shall preside.
  9. If any officer of the Association resigns or becomes incapacitated, each member shall be notified in writing through the U.S. mail of the time and place of the election to replace the said officer at least seven (7) days prior to the meeting for the purpose of the election, such notice shall be the responsibility of the Secretary.
  10. Any officer of the Association may be recalled or impeached by a majority of the voting members of the Calhoun Rural Fire Association, Inc., but the recall or impeachment proceedings may be the responsibility of the Secretary.
    1. The majority of voting members vote to recall or impeach an officer at a regularly scheduled meeting.
    2. The Secretary shall mail a notice to each voting member of the Association of the recall or impeachment proceedings at least seven (7) days prior to the meeting and said notice shall have the time and place of the meeting.
    3. At the meeting so scheduled to recall or impeachment vote, the voting members of the Association shall vote by secret ballot. If a majority of the voters vote to recall or impeach an officer, said officer shall be removed from office, and a new officer shall be elected to fill the vacancy in office at the meeting from the membership in good standing of the Calhoun Rural Fire Association, Inc.
  11. All matters involved with the by-laws of the Association including the finance and expenditures of the Association funds shall be voted on by the members of the Association, in good standing, at the scheduled meeting.
  12. At any meeting scheduled by the President/Chief and the Secretary has notified each voting member of the meeting, giving the time and place of the meeting, those voting members of the Calhoun Rural Fire Association, Inc. in attendance shall constitute a quorum for the purpose of voting on any by-law change or amendment or addition, or any business of the Association including expenditures of the Association funds all other issues.
  13. It is the duty of the Secretary of the Association to keep the records of the Association, the minutes of the meetings and to mail notices of all the special meetings to the membership and to maintain a roster of the membership as verified by the Treasurer.
  14. It is the duty of the Treasurer to maintain a checking account with a bank with Association funds, to extend said funds by check. Only two signatures is required on any check, either that of the President/Chief, Vice-President/Assistant Chief Secretary or Treasurer of the Association. However, no two signatures of the same family shall be permitted.
  15. The by-laws of the Calhoun Rural Fire Association, Inc., may be amended, repealed or added to by a vote of the membership of the Association. Each member may be furnished a copy of the by-laws. The original by-laws shall be kept in a file cabinet at the Calhoun Fire Station located in Calhoun, Missouri.
  16. There shall be no alcoholic beverages or illegal drugs allowed at any Association meeting.
The above Sixteen (16) by-laws enacted and voted upon by the membership, in good standings of the Calhoun Rural Fire Association, Inc. on this 12th day of February, 2002.
